ForgeHub Licensed Products are Royalty Free. This means that you are not required to make any future payments and you can use our Licensed Products for as long as you like. Our Royalty Free licences are separated into two distinct categories, Standard and Editorial.

1. Definitions

1.1 “ForgeHub” includes ForgeHub Ltd, affiliates and partners that distribute Licensed Products on behalf of ForgeHub Ltd.

1.2 “Licensed Product” is the collection of one or more digital files packaged in the form of a Licensed Product on the Site, and that is uploaded by you, or otherwise made available to you, for purchase on the Site. A Licensed Product may include 3D models, texture maps, motion captures, photographs, imagery, software, materials and shaders, shapes and vector graphics, sound effects, stock music, and videos. Additionally, a Licensed Product may include a number of individual files of different file formats as well as images or other files that are used for promotional and advertising purposes.

1.3 “Site” refers to the ForgeHub website, APIs, software applications or any approved means or utility either currently in existence or in the future; the software and source code used by ForgeHub to provide such services; user interface layouts, designs, images, text, knowledge base articles, program offers; and all other intellectual property protected under copyright, trademark, patent, publicity, or any other proprietary right.

1.4 “Include,” including,” and “such as” are considered to be followed with “but not limited to.” Examples are used in this agreement to illustrate, rather than limit, the scope of the terms.

2. Licence Types

2.1 Standard. You can use a Standard Licence for essentially everything, everywhere, every time, subject only to limited restrictions detailed below. You may use the Licensed Product worldwide, on all types of media, for all types of use including both commercial and non-commercial, in all types of derivative works.

2.2 Editorial. You may only use the said Licensed Product for events that are newsworthy or of public interest. Examples: news articles, documentaries etc

3. Restrictions

3.1 For Both Standard and Editorial Licences, the restrictions and prohibitions are as follows:

  1. selling, distributing or sub-licensing the Licensed Product or its contents as a stand-alone file with the exception however, of the use of the Licensed Product in view of displaying such Licensed Product;
  2. may not claim that you are the creator or author of the Licensed Product or its contents;
  3. cannot trademark someone else’s Licensed Product or its contents;
  4. may not redistribute as any form of template;
  5. you may not use the Licensed Product or its derivatives in defamatory, pornographic or unlawful use.

4. General Terms

4.1 Upload. Upon uploading the Licensed Product to the Site, the Seller shall indicate the terms of license, upon which a respective Licensed Product is licensed to the Buyer.

4.2 Third Party Rights. Certain Licensed Products with third party copyrighted or trademarked images, logos, brand names, etc., may require additional licensing, rights, permissions, releases, or clearance for use. It is the sole responsibility of the Buyer and their legal advisor to determine, before purchasing, downloading or using any Licensed Product, whether additional licensing, rights, permissions, releases, or clearance are necessary for the intended use of Licensed Product. It is the Buyer’s sole responsibility to obtain any licensing, rights, permissions, or clearance.

4.3 Ownership. All licenses of the Licensed Products are non-transferrable. Buyers do not own any Licensed Product and are only licensed to use it in accordance with terms and conditions of the applicable license.

4.4 Permissions. The license to use the Licensed Product is non-exclusive, non-transferable and is granted only to you as the original Buyer.

4.5 Returns. A Licensed Product returned to ForgeHub and (or) the Seller in accordance with applicable law for whatever reason must be destroyed by the Buyer immediately. The licence to use any Licensed Product is immediately revoked at the time Licensed Product is returned. Licensed Product obtained by means of theft or fraudulent activity of any kind is not granted a license.

5. Credit and Intellectual Property

5.1 Trademarks. In connection with the use of ForgeHub or any other of its trade names, trademarks, logos or service marks, including the names of all Licensed Products, Licensee acknowledges and agrees that:

  1. such Licensed Products are and shall remain the sole property of ForgeHub or its partner contributors;
  2. except as expressly required in order to satisfy the credit obligations under this Agreement, nothing shall confer upon Licensee any right of use for the Licensed Product;
  3. Licensee shall not now or in the future contest the validity of the Licensed Product.

5.2 Copyright. No ownership or copyright in any Licensed Product shall pass to Licensee by the issuance of the license contained in this Agreement. Except as expressly stated in this Agreement, ForgeHub grants Licensee no other right or license to the Licensed Product.

5.3 Credit. If the Licensed Product is used in an audio/visual Licensed Production in either an editorial context or a non-editorial context but where credits are accorded to other providers of Licensed Product, credit shall be accorded, where feasible, in equal size and comparable placement to such credit(s).

5.4 Violations. Licensee will immediately notify ForgeHub if it becomes aware or suspects that any third party that has gained access to the Licensed Product through a Licensee which is wrongfully using the Licensed Product, in whole or in part, or is violating any of ForgeHub's intellectual property rights, including, but not limited to, Licenced Products, trademarks and copyrights.
